Goldman Sachs BDC, Inc. is a specialty finance company that is a non-diversified, closed-end management investment company that has elected to be regulated as a business development company under the Investment Company Act of 1940, as amended. In addition, Goldman Sachs BDC, Inc. has elected to be treated, and intends to qualify annually, as a regulated investment company, under Subchapter M of the Internal Revenue Code of 1986, as amended (the “Code”).

We were formed in 2012 by the Goldman Sachs Group, Inc. to invest primarily in middle-market companies in the United States. We are managed by our investment adviser, Goldman Sachs Asset Management, L.P., a wholly-owned subsidiary of Goldman Sachs Group, Inc.

Our investment objective is to generate current income and, to a lesser extent, capital appreciation through direct originations of secured debt, including first lien, first lien/last-out unitranche and second lien debt, unsecured debt, including mezzanine debt and, to a lesser extent, investments in equities.

Yes. We intend to pay quarterly distributions to our shareholders out of assets legally available for distribution. Further quarterly distributions, if any, will be determined by our Board of Directors. 

Yes. We have a dividend reinvestment plan for our shareholders, which is an “opt out” dividend reinvestment plan. Under this plan, if we declare a cash dividend, our shareholders who have not elected to “opt out” of our dividend reinvestment plan will have their cash distribution automatically reinvested in additional shares of our common stock, rather than receiving the cash dividends.

No. Dividends paid by Goldman Sachs BDC, Inc. are generally not “qualified dividends” for tax purposes. As a registered investment company under the Code, Goldman Sachs BDC, Inc. is only permitted to pay qualified dividends to the extent that it earns qualified dividends from its underlying investments. Since our investment objective is to invest in predominantly debt instruments, we do not expect to earn any qualified dividends. 

Dividends distributed by Goldman Sachs BDC, Inc. are taxable to our shareholders as ordinary income or capital gains. Our shareholders will receive, as promptly as possible after the end of each calendar year, a Form 1099-DIV reporting the amounts includible in such shareholder’s taxable income for such year as ordinary income and as long-term capital gain.
